Terms of Service — Margo

Status: Pre-launch. Margo is in active development and not yet generally available.

This page still has business and legal decisions missing. Every highlighted mark like Placeholder, needs input: THIS is a placeholder that needs to be filled in — including an entire clause in the Terms — before this can be relied on as a finished policy.

1. Agreement

These Terms are between Placeholder, needs input: LEGAL ENTITY NAME (“we”, “us”) and the company you represent (“you”, “Customer”). By accessing Margo you confirm you are authorised to bind that company.

Margo is a business-to-business product. It is not offered to consumers, and consumer protection rights that would otherwise apply to an individual purchaser do not apply to a company acting in the course of business.

2. Pre-launch status — read this

Margo is under active development and has not launched. During this period:

  • The service is provided as is, with no uptime commitment and no service level agreement.
  • Features may change, break, or be withdrawn without notice.
  • Data may be lost. Keep your own copies of anything you upload. We take backups for our own operational purposes; they are not a service you can rely on.
  • Access may be granted, limited or withdrawn at our discretion.
  • We may contact you about your use of the product, because early feedback is the point.

When Margo becomes generally available we will publish updated terms and give you notice before they take effect.

3. The service

Margo analyses commercial data that you upload — Amazon vendor reports covering purchase orders, shipments, sales, costs and chargebacks — and produces profitability, pricing, inventory and forecasting analysis.

Margo produces analysis and estimates, including machine-learning forecasts. These are not advice, and they are not guaranteed to be accurate. You are responsible for your own commercial decisions. Do not treat a Margo forecast as a fact.

4. Accounts

You sign in through Google or Microsoft. You are responsible for keeping those accounts secure and for everything done under them. Tell us promptly at sales@switchpointpartners.com if you believe an account has been compromised.

Each person must have their own account. Do not share credentials. Where the service is priced per seat, each individual using it requires a seat.

5. Your data

You own your data. You keep all rights in everything you upload, and nothing here transfers ownership to us.

You grant us a limited licence to host, process and display that data solely to provide the service to you — and for no other purpose. We do not sell it, and we do not use one customer’s data to benefit another.

You are responsible for having the right to upload what you upload. Margo is built for commercial data; please do not upload personal data you do not need it to process (see the Privacy Policy, §7).

On termination you may export your data. After Placeholder, needs input: EXPORT WINDOW — 30 DAYS IS TYPICAL we delete it.

6. Acceptable use

Do not: break the law; infringe anyone’s rights; attempt to access another customer’s data; probe, scan or attack the service Placeholder, needs input: unless we have agreed a security test in writing; scrape or resell the service; overload it or circumvent rate limits and usage budgets; or reverse-engineer it except where law says you may.

We may suspend access to protect the service or other customers, and will tell you why where we lawfully can.

7. Fees

During pre-launch, Margo is provided at no charge unless separately agreed in writing.

When paid plans begin: fees, currency and billing period will be as stated at signup; payment is by card via Stripe; fees are billed in advance and are non-refundable except where the law requires; late or failed payment may lead to suspension after a grace period; and we will give Placeholder, needs input: NOTICE PERIOD — 30 DAYS IS TYPICAL before changing prices. Fees exclude VAT and sales tax, which are added where applicable.

8. Third-party services

Margo relies on third parties — Google Cloud, Stripe, Keepa, SerpAPI, Cloudflare (see the Privacy Policy). We are not responsible for their acts or outages, though we will act reasonably to reduce the impact on you.

Margo is not affiliated with, endorsed by, or sponsored by Amazon. “Amazon” and related marks belong to Amazon.com, Inc.

9. Our intellectual property

We own Margo — the software, models, interfaces and documentation. You get a non-exclusive, non-transferable right to use it during your term. You may not copy, modify or create derivative works from it.

Feedback you give us may be used freely and without obligation.

10. Confidentiality

Each of us will protect the other’s confidential information with at least reasonable care and use it only for this agreement. This does not cover information that is public, already known, or independently developed.

11. Disclaimers

To the fullest extent permitted by law, Margo is provided “as is” and “as available”, with no warranties of any kind — express or implied — including merchantability, fitness for a particular purpose, non-infringement, or that the service will be uninterrupted, error-free, or that its analysis will be accurate.

12. Liability

Placeholder, needs input: THIS ENTIRE CLAUSE REQUIRES LEGAL REVIEW — THE FIGURES ARE PLACEHOLDERS.

Neither party excludes liability for death or personal injury caused by negligence, fraud, or anything else that cannot lawfully be excluded.

Subject to that: neither party is liable for indirect or consequential loss, loss of profit, revenue, business, goodwill or data; and each party’s total liability is capped at the greater of the fees paid in the 12 months before the claim, or Placeholder, needs input: £100 / AGREED FLOOR — reflecting that the service is currently provided free.

13. Term and termination

These Terms apply while you use Margo. Either of us may terminate on Placeholder, needs input: NOTICE PERIOD written notice; we may suspend or terminate immediately for a material breach or under §6. Sections 5, 9, 10, 11, 12 and 14 survive.

14. Governing law

These Terms are governed by the laws of Placeholder, needs input: ENGLAND AND WALES / OTHER, and the courts of Placeholder, needs input: JURISDICTION have exclusive jurisdiction. Placeholder, needs input: CONFIRM — this should match your registered entity and your target customers.

15. General

These Terms are the whole agreement between us on this subject. If a clause is unenforceable the rest stands. Not enforcing a right is not a waiver of it. You may not assign without our consent; we may assign to a successor of our business. Nothing here creates a partnership or agency.

16. Changes

We may update these Terms. Material changes will be notified by email or in-product before they take effect, and continuing to use Margo means accepting them.
